This agreement

The CosmikERP Referral Partner Programme is run by Atomnik Technologies Private Limited, a private limited company incorporated in India (CIN U62011MH2025PTC458545), registered office at Kalyan West, Kalyan, Maharashtra 421301, India (“Atomnik”, “we”), which builds and sells CosmikERP. “You”, the Partner, are the firm named in your application.

These terms are the complete and binding agreement for the programme between you and us. They take effect on the day you accept them in the partner portal (the Effective Date). They restate our Referral Partner Term Sheet for the portal; if you have also signed a term sheet with us, the later of the two you agreed applies.

Who can partner

UAE firms with a valid trade licence that provide tax, accounting, bookkeeping or audit services, including Tax Agents registered with the Federal Tax Authority (FTA). Keep your trade licence number, and your FTA Tax Agency registration number if you have one, current in your partner profile.

You refer UAE businesses in general trading, distribution, project supply, import-export and manufacturing. We accept other sectors at our discretion.

Onboarding and the portal

Within 5 working days of your approval we give you a live product walkthrough and overview, and assign you a named partnership contact who replies within 2 working days.

You use the portal to register each referral and follow its status. Your portal access is for your firm only and must not be shared outside it.

What you do, and what we do

You introduce suitable businesses and register each one in the portal before or at the time of introduction, with the business's name, contact person, email, phone number, business activity and any known requirements.

You describe CosmikERP using our materials, such as the pitch kit. You may share indicative pricing as we publish it and collect a client's requirements, but you may not commit to prices, discounts, features or timelines, or sign anything on our behalf.

We run all demos, discovery, proposals and contracting, and handle implementation, data migration, training, go-live and ongoing support. You have no delivery obligations. We offer to include you in the demo where useful.

Qualified referrals

A referral earns commission when all three are true: it was registered in the portal before our first sales conversation with the business; the business was not already our client or an active opportunity; and the business signs a paid CosmikERP agreement within 6 months of registration.

We accept or decline each registration within 5 working days, and give a reason if we decline it. If two partners register the same business, the first valid registration wins. The portal decides who registered first; different spellings of one business, or its own web or email domain, count as the same business.

A registration lapses unless an introduction meeting with us, the first discovery call we hold with the business, takes place within 30 days of registration. A lapsed or declined registration earns nothing, and another partner may then register the business.

Commission

30% of the First-Year Contract Value of every Qualified Referral, and 15% of the subscription fees for each Renewal Year that begins while this partnership is in force. A Renewal Year is each 12-month contract year after the first, whether it follows a renewal or falls under a multi-year contract.

The First-Year Contract Value is the fees for the first 12 months of the client's contract: subscription, implementation and onboarding (where charged), extra modules or users, and one-time customisation. It excludes VAT and other taxes, and third-party costs passed through to the client, such as hardware, e-invoicing service provider fees and third-party licences.

Commission is earned pro rata on what each referred client actually pays. If a client pays in parts, you earn commission on each part as it is received (for example, 30% of a 60% advance once that advance is paid). No commission is earned on amounts invoiced but not yet paid.

Commission is settled monthly: within 15 days after each month ends, we pay the total commission earned on payments received from your referred clients during that month, with a statement. Until the portal shows monthly statements, we email each statement to you.

An example, in AED and excluding VAT: a referred trading company signs with a First-Year Contract Value of AED 10,000, pays 60% in March and the 40% balance in May, then renews in year 2 at a subscription fee of AED 6,000. You earn AED 1,800 in the April settlement, AED 1,200 in the June settlement, and AED 900 in the settlement for the month after the year 2 payment.

Payment, refunds and transparency

We pay in AED by bank transfer against your tax invoice (with VAT if you are VAT-registered). Each of us bears our own bank charges and taxes. Any tax we must legally withhold is deducted with a certificate, and we will seek to apply India–UAE treaty relief on receipt of your UAE Tax Residency Certificate.

If we refund a client, the commission paid on that amount is deducted from your next monthly settlement, or repaid within 30 days of our request if no settlement falls due within 90 days.

The portal shows each referral's status and the commission recorded for it. We share the final contracted price, the payments received, client invoices and payment confirmations on request, until the portal shows them. Raise any query within 30 days of a monthly statement.

The sandbox and the pitch kit

On approval you get one named login to a demonstration copy of CosmikERP holding a fictional company, to show CosmikERP to prospective clients and to learn it. Other partners and our own team use the same demonstration company: never enter a real business's data in it, and leave its records as you found them.

Your login lasts 30 days and renews each time you register a referral or join a discovery call. After 30 days without either it is switched off; you can ask for it back in the portal.

The pitch kit is for presenting CosmikERP to prospective clients. Share it with them, but do not publish it or change what it says about the product, its prices or its compliance.

Duration, your clients and ending

This partnership lasts 12 months from the Effective Date and renews automatically for further 12-month periods. It is non-exclusive.

Your clients stay yours. We will not provide tax, VAT, Corporate Tax, accounting, bookkeeping or audit services to your referred clients, will not encourage them to move away from you, and will not go around you to avoid commission. CosmikERP's software features are not services for this purpose.

Either of us may end the partnership at any time with 30 days' written notice, or immediately by written notice if the other materially breaches these terms. A missed commission payment counts as a material breach only if it remains unpaid 15 days after your written notice. We may also end it immediately if your trade licence, or any FTA registration you rely on, lapses.

When it ends, your portal access ends, but you are still paid on: payments within the First-Year Contract Value of your Qualified Referrals; referrals registered before the end date that sign within 90 days; and, if we ended it on 30 days' notice, Renewal Years beginning within the following 12 months. The first two do not apply if we ended the partnership because of your breach.

Changes

We may change rates or rules on 30 days' written notice. A change applies only to referrals registered afterwards, and appears in the portal as a new version of these terms with its date. If you do not accept a change, you may end the partnership on 30 days' notice.

When we set up our UAE-licensed entity, we may transfer this partnership to it by written notice, with all terms, referrals and earned commission unchanged.

Confidentiality and data

Each of us keeps the other's non-public information (pricing, product plans, commission terms, client details) confidential for the term of the partnership and 3 years after.

Get the business's consent before registering its details, in line with Federal Decree-Law No. 45 of 2021; the portal asks you to confirm it. Do not upload tax returns, financial statements or other sensitive client records to the portal or the sandbox. We use referral data only to evaluate, sell to and serve that business.

Responsibility and liability

Tax, accounting and compliance advice remains solely yours. We give no tax advice and guarantee no regulatory outcome. You indemnify us against third-party claims arising from your advice, from data shared without consent, or from claims about CosmikERP beyond our materials.

Neither of us is liable for indirect or consequential loss, or for lost profit, revenue or goodwill. Each party's total liability is capped at the total commission paid to you in the previous 12 months. The cap does not apply to unpaid commission due, to your indemnity for your own tax or compliance advice and for data shared without consent, or to a breach of confidentiality or intellectual property.

Intellectual property and conduct

We own CosmikERP and the partner portal, and may use any feedback you share freely. You may use the CosmikERP name, logo and materials only to make referrals, and may not copy, resell, white-label, reverse-engineer or build a competing product.

No bribes, kickbacks or inducements. You may not share commission with a client or its staff without our written consent. You will tell each referred business that you may receive a referral fee from us. You are an independent contractor, not our agent, employee or joint-venture partner.

Law, disputes and notices

These terms are governed by the laws of the Emirate of Dubai and the UAE. We first try to settle any dispute in good faith within 30 days; after that, the courts of Dubai have exclusive jurisdiction.

Notices are by email: to you at the email you applied with, and to us at partners@cosmikerp.com. Neither of us may assign this partnership without the other's consent, except to an Atomnik affiliate or successor. These terms change only as set out under Changes, or in writing agreed by both of us. English prevails.
